Terms of Service

The terms governing access to and use of Envoy.

These Terms of Service ("Terms") govern your access to and use of the Envoy email-automation platform and related websites, applications, and services (collectively, the "Service") operated by JAIPTEAM Inc. ("Envoy," "we," "us," or "our").

By creating an account, connecting a mailbox, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

The Service

Envoy is an AI-assisted email management product. Depending on your plan and configuration, the Service may:

Connect to your email accounts (currently Gmail via Google OAuth) and read unread messages and related metadata.

Classify, triage, and route messages (for example: action items, FYI, junk, transactional/accounting, e-signature notices).

Generate draft replies in your voice using artificial intelligence.

Create Gmail drafts for your review; Envoy does not send email on your behalf unless you explicitly take that action in Gmail or another mail client.

Forward certain transactional messages (such as invoices or receipts) to accounting destinations you configure.

Send you HTML briefing digests summarizing processed mail and suggested actions.

Learn from edits you make to drafts to improve future drafting ("voice learning").

Provide a management interface, onboarding flows, digest action buttons, and optional integrations (such as Linear or Slack, when enabled).

Envoy is offered as:

Hosted SaaS: a multi-tenant cloud service accessed at app.envoyapp.ai and related subdomains; and

Local / self-hosted edition: software you run on your own infrastructure under a separate license or agreement, if we make that edition available to you.

Features, account limits, and availability differ by edition, plan tier, and whether you are in a beta program (see Section 8). We may add, change, or remove features at any time. We do not guarantee that any particular feature will remain available.

Eligibility and Accounts

Eligibility. You must be at least 18 years old and able to form a binding contract. You must have lawful access to any mailbox you connect and the authority to grant Envoy the permissions described in these Terms and in our Privacy Policy.

Account registration. You must provide accurate registration information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

Mailbox connection. Connecting Gmail requires you to authorize Envoy through Google's OAuth consent screen. You may revoke that authorization at any time through your Google Account settings or through Envoy's account-management tools when available.

Plan tiers and limits. Paid and beta plans may limit the number of connected accounts, pipeline runs, AI usage, integrations, or other resources. We may enforce usage caps, rate limits, or fair-use policies. Exceeding limits may result in throttling, suspension of certain features, or a request to upgrade.

Administrators and delegates. If your organization enables executive-assistant or delegated access (when available), you are responsible for permissions granted to other users on your account.

Acceptable Use

You agree not to, and not to permit others to:

Use the Service in violation of any law, regulation, court order, or third-party rights (including privacy, publicity, intellectual property, and employment obligations).

Connect mailboxes or process email you are not authorized to access.

Use the Service to send spam, phishing, malware, or unlawful content; to harass others; or to impersonate any person or entity.

Attempt to probe, scan, or test the vulnerability of the Service or bypass authentication, rate limits, or security controls.

Reverse engineer, decompile, or attempt to extract source code from the hosted Service except where prohibited restrictions are waived by applicable law.

Use the Service to build a competing product by systematic extraction of outputs, classifications, or system behavior.

Submit content or instructions designed to manipulate the AI into performing unauthorized actions (for example, prompt-injection attacks aimed at sending mail, exfiltrating data, or overriding safety controls).

Resell or sublicense the hosted Service without our written permission.

We may investigate suspected violations and suspend or terminate access (Section 14).

Email, Gmail, and Your Responsibilities

Your mail remains yours. You retain ownership of your email content and are solely responsible for messages you send, forward, archive, or delete after reviewing Envoy's drafts, classifications, or suggestions.

Draft-only default. Envoy's AI produces text and creates drafts. Sending mail, forwarding to accounting, blocking senders, unsubscribing, and similar mailbox actions occur only through deterministic product logic you enable or through actions you take in your mail client. You must review every draft before sending. Do not rely on Envoy to catch legal, financial, regulatory, confidentiality, or relationship risks in outbound mail.

Classification and routing. Envoy applies rules, whitelists, and AI-assisted classification. Classifications may be wrong. You are responsible for verifying routing decisions, especially forwards to accounting, junk/suppression actions, and persona assignments, before they affect your business or relationships.

Google API Services. Your use of Gmail through Envoy is also subject to the Google APIs Terms of Service and Google Privacy Policy. Envoy's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

Scopes. Depending on configuration, Envoy may request Gmail and related Google permissions such as reading and modifying messages, composing drafts, sending mail only when you initiate send outside Envoy's draft-only path, limited Drive access, and read-only Calendar access. The exact scopes are shown on the Google consent screen and in the Service's connection settings.

Third-party mail providers. Support for providers other than Gmail may be added later. Additional provider terms may apply.

Artificial Intelligence: Important Disclaimers

Envoy uses third-party AI models (currently Anthropic Claude via API) to classify mail and generate draft text. AI outputs are probabilistic and may be incomplete, outdated, biased, or incorrect.

You acknowledge and agree that:

No professional advice. Drafts and summaries are not legal, tax, accounting, investment, medical, or other professional advice. Consult qualified professionals for those matters.

No warranty on accuracy. We do not warrant the accuracy of classifications, summaries, draft replies, persona assignments, or extracted commitments.

You review before send. You are solely responsible for the content, tone, recipients, and consequences of email you send after editing or approving an Envoy draft.

Not a records system. Envoy is not a substitute for your email archive, legal hold, or compliance record-keeping systems.

Voice learning. If enabled, Envoy may store differences between its drafts and the messages you actually send to improve future drafts. You are responsible for ensuring that learning from your mail complies with your policies and obligations.

PII handling. We apply technical measures to reduce sensitive data sent to AI providers (for example, masking certain structured identifiers before API calls), but you should not assume all sensitive content is removed. See our Privacy Policy.

Sub-processors that process content on our behalf are listed in our Privacy Policy and Trust Center. We do not use your mailbox content to train public foundation models through these Terms; provider-specific terms govern each sub-processor.

Privacy and Confidentiality

Your use of the Service is also governed by our Privacy Policy, which describes what we collect, how we use and share it, retention, security, sub-processors, and your choices (including disconnecting accounts and requesting deletion, when available).

Confidentiality of your data. We will use commercially reasonable safeguards to protect your data and will access your mailbox content only to provide and improve the Service, support you, ensure security, and comply with law, as described in the Privacy Policy.

Your confidentiality obligations. You may receive non-public information about Envoy's product, pricing, or beta programs. You agree not to disclose such information except to your advisors under confidentiality obligations or as required by law.

Beta, Preview, and Self-Hosted Editions

Closed and open beta. From time to time we may offer beta, preview, or early-access programs. Beta Services may:

Be incomplete, unstable, or changed without notice;

Have limited support, uptime, or data-protection features;

Be available only to invited users subject to additional terms or an NDA;

Require Google OAuth "Testing" mode, which may display an "unverified app" warning until Google verification is complete.

No reliance during beta. Beta Services are provided for evaluation only. Do not use beta Services for workloads where errors, data loss, or mis-routed email would cause material harm without independent safeguards.

Self-hosted edition. If you run a local or self-hosted edition, you are responsible for your infrastructure, backups, security patches, network exposure, API keys, and compliance with laws applicable to your deployment. Unless a separate written agreement says otherwise, these Terms govern your use of Envoy software; support and availability commitments for self-hosted editions may differ from hosted SaaS.

Fees, Billing, and Trials

Current pricing. During closed beta, access may be free or offered under special terms communicated to you separately.

Future paid plans. When billing is enabled, paid plans will be described at jaipteam.com/envoy and processed by our payment provider (planned: Stripe). By subscribing, you authorize us and our payment processor to charge applicable fees, taxes, and overages.

Changes. We may change prices for renewal terms with advance notice as required by law. Fee changes do not apply retroactively to the current paid term.

Taxes. Fees are exclusive of taxes unless stated otherwise. You are responsible for applicable taxes.

No refunds unless stated. Except where required by law or expressly stated in an order form, fees are non-refundable.

Usage caps. Plans may include limits on connected accounts, AI usage, or pipeline frequency. We may suspend features if payment fails or usage exceeds purchased limits.

The Service relies on third parties, including without limitation:

Your use of third-party services may be subject to their terms. We are not responsible for third-party services outside our reasonable control. An up-to-date sub-processor list appears in our Privacy Policy and Trust Center.

Optional integrations (for example, Linear, Slack, or outbound webhooks to other products) are provided for convenience; we do not endorse and are not liable for those services.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." To the fullest extent permitted by law, Envoy and its suppliers disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, we do not warrant that:

The Service will be uninterrupted, secure, or error-free;

Classifications, drafts, forwards, or digests will be accurate or complete;

Defects will be corrected; or

The Service will meet your requirements or comply with your industry-specific obligations.

We do not offer service-level agreements, uptime guarantees, or compliance certifications (such as SOC 2 or ISO 27001) unless expressly set out in a separate signed enterprise agreement. References to security practices in our documentation describe our current posture, not a warranty.

Some jurisdictions do not allow certain disclaimer limitations; in those cases, disclaimers apply to the maximum extent permitted.

Limitation of Liability

To the fullest extent permitted by law:

No indirect damages. Neither Envoy nor its affiliates, officers, employees, agents, suppliers, or licensors will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business interruption, arising from or related to the Service or these Terms, even if advised of the possibility.

Cap on direct damages. Our total aggregate liability for all claims arising from or related to the Service or these Terms will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100) if you have not paid fees.

These limits do not apply to liability that cannot be excluded by law (for example, certain consumer rights), or to fraud, wilful misconduct, or gross negligence where such limitations are prohibited.

The Service's draft-only design does not eliminate your exposure from email you choose to send, forward, or publish. You bear that risk.

Indemnification

You will defend, indemnify, and hold harmless Envoy and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

Your content or mailboxes;

Email or other communications you send, forward, or fail to send after relying on the Service;

Your violation of these Terms or applicable law;

Your connection of mailboxes without proper authority; or

Your use of integrations or third-party services with the Service.

We may assume exclusive defense and control of any matter subject to indemnification, and you will cooperate with us.

Suspension and Termination

By you. You may stop using the Service at any time. You may disconnect mailboxes and delete your account through available settings or by contacting us at privacy@jaipteam.com.

By us. We may suspend or terminate your access immediately if we reasonably believe you violated these Terms, pose a security risk, exceed usage limits, fail to pay fees when due, or if we discontinue the Service. We will use reasonable efforts to provide notice when practical.

Effect of termination. Upon termination, your right to use the Service ends. Sections that by their nature should survive (including Sections 5, 7, 11–13, 15–17) survive termination.

Data after termination. We will handle your data as described in the Privacy Policy, including deletion or export options when available. You are responsible for exporting data you need before termination.

Changes to the Service and Terms

We may modify the Service or these Terms from time to time. If we make material changes, we will provide notice (for example, by email, in-product notice, or by posting an updated version at /envoy/terms) before the changes take effect.

Your continued use after the effective date of updated Terms constitutes acceptance. If you do not agree, you must stop using the Service before the changes take effect.

For beta users, we may change or discontinue beta features without prior notice.

Governing Law and Dispute Resolution

Governing law. These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence require otherwise.

Informal resolution. Before filing a claim, you agree to contact us at privacy@jaipteam.com and attempt to resolve the dispute informally for at least thirty (30) days.

Venue. Except where prohibited by law, the courts located in Ontario, Canada will have exclusive jurisdiction over disputes arising from these Terms or the Service. You consent to personal jurisdiction in those courts.

Class action waiver. To the extent permitted by law, disputes will be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Injunctive relief. Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

General

Entire agreement. These Terms, together with the Privacy Policy and any order form or beta agreement referencing them, are the entire agreement between you and Envoy regarding the Service.

Order of precedence. If you have a signed enterprise agreement with us, that agreement controls over these Terms to the extent of a conflict.

Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Severability. If any provision is unenforceable, the remaining provisions remain in effect.

No waiver. Failure to enforce a provision is not a waiver.

Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control (including internet outages, provider failures, labor disputes, or acts of government).

Export. You may not use the Service in violation of export control or sanctions laws.

Government users. The Service is commercial computer software. If you are a U.S. government entity, rights are limited as set forth in applicable federal acquisition regulations.
